You are right that should valuation come in under the agreed selling price, the difference in amount will need to be paid in cash (COV in this case). Should the valuation comes above the agreed selling price, the agreed selling price will remain and seller will be unable to do anything about this scenario should buyer decides to proceed and exercise the Option To Purchase within the 21 days stipulated cooling period.
