1. RSS Feeds
1.1 RSS (Really Simple Syndication) feeds are available from any of the websites operated by or on behalf of PropertyGuru (collectively the "Sites" and each a "Site"). The RSS feed is a service provided by PropertyGuru free of charge strictly for your personal or non-commercial use only.
1.2 By accessing and receiving the RSS feeds, you are deemed to have read and have expressly agreed to be bound by these Terms and Conditions.
2. Conditions of Use
You agree to observe and be bound by the following conditions:
(a) You shall not infringe any applicable law (for instance copyright law) when you reproduce the RSS feeds on your desktop websites or mobile sites.
(b) You shall not insert any intermediate page or any other materials and/or content between the RSS feeds and the applicable article on the Site.
(c) You shall not subject the RSS feeds to any derogatory treatment or use them in such a way that would bring PropertyGuru into disrepute or cause PropertyGuru to incur liability to any third party.
(d) You shall not directly or indirectly charge others for accessing or viewing any of the RSS feeds.
(e) You shall not commercialise or attempt to re-sell the RSS feeds in any way, which includes advertising or selling any goods and services which offer the RSS feeds.
3. Intellectual Property
3.1 The RSS feeds and the Sites contain copyright works, trademarks and other proprietary information, including, but not limited to, text, photos, videos, graphics and software belonging to PropertyGuru, its affiliates or its licensors.
3.2 You shall not copy, modify, publish, distribute, transmit, transfer, sell, create derivative works or in any way exploit any of the RSS feeds, in whole or in part, without the prior written permission of PropertyGuru. In the event PropertyGuru grants written permission to do any of the foregoing acts in respect of any RSS feeds, such grant is subject to the condition that you will not change or delete the author attribution, trademark or copyright notice in the RSS feed. You acknowledge that under no circumstances shall you acquire any ownership rights in any of the RSS feeds.
3.3 PropertyGuru owns all rights to its trademarks and logos used in connection with the RSS feeds and the Site. You shall not use any PropertyGuru's trademarks and logos without PropertyGuru's prior written consent. All other trademarks and logos appearing on the RSS feeds or the Sites are the property of their respective owners.
4. Third Party Content
The RSS feeds and the Sites may contain third party content. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties are those of the respective third party authors or publishers and not of PropertyGuru. PropertyGuru facilitates the reproduction of the third party content on the Sites but does not endorse nor guarantee the accuracy, completeness, truthfulness, usefulness or reliability of any third party content. All use or reliance on the third party content is made at your own risks. Under no circumstances shall PropertyGuru be held liable for any loss or damage caused by your use or reliance on information obtained through the RSS feeds or the Sites.
5. Disclaimer of Warranty
5.1 THE RSS FEEDS ARE PROVIDED BY PROPERTYGURU "AS IS". PROPERTYGURU DOES NOT MAKE ANY WARRANTY OR REPRESENTATION, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE RSS FEEDS.
5.2 PROPERTYGURU DOES NOT WARRANT THAT THE RSS FEEDS ARE ACCURATE, COMPLETE, TRUE, USEFUL OR RELIABLE; OR THAT THE RSS FEEDS WILL NOT INFRINGE ANY COPYRIGHT OR TRADEMARK OR OTHER PROPRIETARY RIGHTS OF A THIRD PARTY; OR THAT THE CONTENT AND ANY FUNCTIONS ASSOCIATED WITH THE SITES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT THE SITES AND THEIR SERVERS WILL BE FREE OF ALL VIRUSES, CONTAMINATION, DESTRUCTIVE FEATURES OR HARMFUL ELEMENTS, WHETHER OR NOT KNOWN.
6. Limitation of Liability
IN NO EVENT SHALL PROPERTYGURU, ITS EMPLOYEES, SUBSIDIARIES, AFFILIATES, ASSOCIATES AND RELATED CORPORATIONS BE LIABLE TO YOU AND/OR TO ANY THIRD PARTY FOR ANY LIABILITIES, DAMAGES, EXPENSES, CLAIMS, FEES, COSTS OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION, DIRECT, INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING LOST OF REVENUES OR PROFITS, LOSS OF BUSINESS OR LOSS OF DATA, (OTHER THAN FOR DEATH OR PERSONAL INJURY RESULTING DIRECTLY FROM A WILFUL BREACH, OMISSION AND/OR GROSS NEGLIGENCE BY PROPERTYGURU OF ITS OBLIGATIONS UNDER THIS AGREEMENT) ARISING OUT OF ANY LEGAL CLAIM (WHETHER IN CONTRACT, TORT OR OTHERWISE), THE USE OF OR INABILITY TO USE THE RSS FEEDS, THE SITES, THE CONTENT OF THE HYPERLINKS, INCLUDING BUT WITHOUT LIMITATIONS, DIRECT, SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES.
7. Indemnity
You agree to defend, indemnify and hold harmless PropertyGuru, its affiliates, its licensors and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of your use of the RSS feeds or the Sites in an improper or an unauthorized manner.
8. Termination
PropertyGuru reserves the right to cease and terminate the provision of the RSS feeds to you at any time without giving you any prior written notice. Without limiting the foregoing, PropertyGuru shall have the right to immediately terminate you use of the RSS feeds or the Site in the event PropertyGuru, in its sole discretion, considers your use of the RSS feeds or the Site to be unacceptable, or in the event of any breach by you of these Terms and Conditions.
9. General
9.1 These Terms and Conditions constitutes the entire terms and conditions with respect to the subject matter hereof and supersedes all previous agreements, representations and understandings in relation to the subject matter hereof.
9.2 PropertyGuru reserves the right to amend, modify, supplement or vary all or any of these Terms and Conditions at any time without prior notice. The revised Terms and Conditions shall be effective upon the posting of the revised Terms and Conditions at the Site. Your continued access and/or receipt of the RSS feeds will constitute your acceptance of the revised Terms and Conditions.
9.3 Should any provision of these Terms and Conditions be held to be invalid or unenforceable in any jurisdiction, it shall be ineffective to the extent of such invalidity or unenforceability without invalidating or rendering unenforceable the other Terms and Conditions, and any such invalidity or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
10. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the law of Singapore and the parties agree to submit any dispute arising out of or in connection with the RSS feeds or the use of the Site to the non-exclusive jurisdiction of the courts of Singapore.
